Terms of Use

TERMS OF USE & CONDITIONS OF SALE

Last Updated: October 3, 2026

These Terms of Use and Conditions of Sale (“Terms”) constitute a legally binding agreement between you, whether acting individually or on behalf of a business or other entity (“you,” “your,” or “Customer”), and Light Spectrum Enterprises, Inc., doing business under the LSE Lighting brand (“LSE,” “Company,” “we,” “us,” or “our”).

These Terms govern your access to and use of the LightExports.com website, any related webpages, customer accounts, online services, communications, and the purchase of products or services from us (collectively, the “Site” and “Services”).

By accessing or using the Site, creating an account, submitting an order, purchasing a product or service, or otherwise interacting with the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies expressly incorporated into these Terms, including our Privacy Policy, Return & Refund Policy, and Shipping Policy.

If you do not agree to these Terms, you should not use the Site or place an order through the Site.

1. ELIGIBILITY AND AUTHORITY

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to place an order or enter into a binding transaction with us.

If you use the Site or place an order on behalf of a corporation, company, organization, government entity, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

The Site is not directed to children under 13, and we do not knowingly solicit personal information from children under 13.

2. CHANGES TO THESE TERMS

We may revise or update these Terms from time to time to reflect changes to our business, products, Services, technology, legal requirements, or business practices.

When changes are made, we will update the “Last Updated” date at the top of these Terms. Unless otherwise required by applicable law, revised Terms become effective when posted on the Site.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

Changes to these Terms will not retroactively alter the material terms of a completed transaction except where permitted or required by law or agreed to by the parties.

3. ACCOUNTS AND ACCOUNT SECURITY

Certain features of the Site may require you to establish a customer account.

You agree to:

  • provide accurate, current, and complete information;

  • maintain and promptly update your account information;

  • maintain the confidentiality of your login credentials;

  • not permit unauthorized persons to use your account; and

  • promptly notify us if you become aware of unauthorized access to or use of your account.

You are responsible for activities conducted through your account to the extent permitted by applicable law.

We may suspend, restrict, or terminate an account that we reasonably believe is being used fraudulently, unlawfully, abusively, or in violation of these Terms.

4. PRODUCTS AND PRODUCT INFORMATION

We make reasonable efforts to provide accurate product descriptions, specifications, dimensions, wattages, wavelengths, photographs, compatibility information, availability information, and other product information.

However, manufacturing processes, technical tolerances, supplier specifications, product improvements, component availability, photography, screen displays, and other factors may result in reasonable differences between information displayed on the Site and the product actually supplied.

Product photographs and illustrations may be representative and are provided primarily for identification and informational purposes unless we expressly state that a particular image represents the exact item being sold.

Specifications, designs, packaging, labeling, connectors, components, dimensions, appearance, and other characteristics may be revised or updated without notice where the change does not materially alter the intended product function or where otherwise permitted by law.

If an exact physical configuration, electrical specification, wavelength, output specification, base configuration, connector, dimension, or other characteristic is critical to your application, you are responsible for confirming that requirement with us before ordering.

5. LSE LIGHTING BRAND AND THIRD-PARTY COMPATIBILITY REFERENCES

Products sold by us are sold under the LSE Lighting brand unless expressly stated otherwise.

Certain product pages may reference third-party brands, manufacturers, equipment, systems, model numbers, part numbers, or trademarks for purposes of identifying compatibility, replacement applications, cross-references, or intended use.

Unless expressly stated otherwise, products sold by LSE Lighting are not manufactured, sponsored, authorized, endorsed, or approved by the third-party manufacturers or brands referenced on the Site.

Third-party brand names, trademarks, product names, model numbers, equipment names, and part numbers are used solely for identification, reference, and compatibility purposes.

No reference to a third-party brand or product creates any affiliation, partnership, sponsorship, endorsement, agency relationship, or authorization between LSE Lighting and that third party.

All third-party trademarks remain the property of their respective owners.

6. REPLACEMENT PRODUCTS AND COMPATIBILITY

Many products sold by LSE Lighting are replacement or compatible components intended for installation in existing systems manufactured by third parties.

A statement that a product “fits,” “replaces,” is “compatible with,” is an “equivalent replacement for,” or is otherwise associated with a particular third-party model generally means that the product has been identified as suitable for the referenced application based on available technical information, physical characteristics, electrical characteristics, historical application information, supplier information, market information, testing where applicable, or other commercially reasonable sources.

Such statements do not constitute a representation that:

  • the product is manufactured by the original equipment manufacturer;

  • the original equipment manufacturer has approved or endorsed the product;

  • the replacement product is identical in every respect to an original component;

  • the replacement product will correct an unrelated defect in the underlying equipment;

  • the existing ballast, power supply, controller, sleeve, socket, sensor, wiring, or other system component is functioning correctly; or

  • installation of the replacement component will restore a malfunctioning system where another component is responsible for the malfunction.

Customers are responsible for verifying the model number, physical configuration, electrical specifications, dimensions, wavelength, lamp base, connector type, ballast requirements, and other relevant characteristics before installation.

7. ULTRAVIOLET PRODUCTS — SAFETY AND RESPONSIBLE USE

LSE Lighting sells ultraviolet lamps and related products intended for a variety of commercial, industrial, residential, water-treatment, air-treatment, HVAC, surface-treatment, laboratory, equipment-maintenance, and other applications.

Ultraviolet radiation can be hazardous if products are handled, installed, operated, or serviced improperly.

Direct or indirect exposure to certain wavelengths of ultraviolet radiation may cause serious injury to the eyes and skin.

Certain ultraviolet lamps may also generate ozone, contain mercury or other regulated materials, produce heat, operate at high voltage, or require specialized electrical equipment.

You agree to:

  • follow all applicable product instructions and equipment-manufacturer instructions;

  • disconnect electrical power before installation or service where appropriate;

  • avoid viewing or exposing skin to operating germicidal ultraviolet lamps;

  • use appropriate protective equipment and shielding;

  • comply with applicable electrical, occupational-safety, environmental, disposal, building-code, and equipment requirements; and

  • ensure installation and servicing are performed by qualified persons when required by the application or applicable law.

Unless a product is specifically designed, tested, labeled, and marketed for direct human exposure, you should not operate germicidal ultraviolet equipment in a manner that intentionally exposes people or animals to ultraviolet radiation.

Products identified as approximately 185 nm may generate ozone. Products identified as approximately 254 nm are generally intended for germicidal ultraviolet applications, subject to the particular product design and system configuration.

The Customer is responsible for determining whether a product is appropriate and lawful for its intended application.

8. TECHNICAL INFORMATION AND SYSTEM DESIGN

Technical information displayed on the Site is provided primarily to assist with product identification, comparison, replacement selection, and general use.

Unless expressly provided as part of a separate written engineering, laboratory, testing, consulting, or research-and-development service, information on the Site should not be interpreted as an engineering certification, system-validation report, dose-validation study, laboratory certification, regulatory approval, professional engineering opinion, or guarantee of system performance.

Ultraviolet output, irradiance, dose, intensity, operating temperature, lamp life, useful UV output, airflow treatment, water treatment, microbial reduction, ozone generation, and overall system performance can vary materially depending on numerous factors, including:

  • ballast or power-supply characteristics;

  • lamp operating current;

  • lamp temperature;

  • ambient temperature;

  • airflow or water-flow rate;

  • distance from the lamp;

  • reflector geometry;

  • quartz sleeve condition;

  • fouling or contamination;

  • system design;

  • installation orientation;

  • voltage;

  • operating hours;

  • lamp aging; and

  • other environmental and equipment-specific conditions.

The Customer is responsible for determining whether a product and the system in which it will be installed are suitable for the Customer’s particular application and performance requirements.

Any specialized testing, validation, engineering analysis, irradiance mapping, dose calculation, system design, certification, or other professional technical service must be separately agreed to in writing.

9. NO MEDICAL OR HEALTH ADVICE

Information provided on the Site concerning ultraviolet technology, germicidal applications, microorganisms, air treatment, water treatment, surface treatment, or related subjects is provided for general product and technical information only.

Nothing on the Site constitutes medical advice, healthcare advice, disease-prevention advice, or a guarantee that any product will prevent, treat, cure, or eliminate any disease, medical condition, microorganism, contaminant, or health risk unless such claim is expressly supported and legally permitted for the specific product and application.

Customers are responsible for complying with all laws, regulations, standards, codes, and professional requirements applicable to their intended use.

10. ORDERS

Submitting an order through the Site constitutes an offer to purchase the products or services identified in the order.

Receipt of an order confirmation or automated email does not necessarily constitute final acceptance of the order.

We reserve the right, to the extent permitted by law, to:

  • accept or reject an order;

  • request additional information before accepting an order;

  • verify billing, payment, shipping, or identity information;

  • limit quantities;

  • cancel suspected fraudulent or unauthorized orders;

  • refuse orders intended for unlawful resale or export;

  • refuse unusually large or commercially impractical quantities;

  • discontinue products; or

  • cancel an order affected by an obvious pricing, description, inventory, technical, or typographical error.

An order generally becomes accepted when we begin fulfillment, ship the product, or otherwise expressly confirm acceptance.

If we cancel an order after receiving payment, we will refund the amount collected for the canceled portion of the order, subject to applicable law.

11. PRICING AND PAYMENT

Prices are those displayed or otherwise quoted at the time an order is submitted, subject to correction of errors.

Unless otherwise indicated, prices are stated in U.S. dollars.

We may change prices at any time before an order is accepted.

You agree to provide current, complete, and accurate billing and payment information and represent that you are authorized to use the payment method submitted.

Accepted payment methods are those displayed at checkout or otherwise approved by us.

Applicable taxes, shipping charges, handling charges, customs charges, duties, special-order charges, engineering charges, or other charges may be added where applicable and will be disclosed as required by law.

We may use third-party payment processors to process transactions. Your use of a third-party payment method may also be subject to the provider’s terms.

12. PRICING, DESCRIPTION, AND INVENTORY ERRORS

Despite our efforts, pricing, product descriptions, specifications, promotional information, inventory status, shipping calculations, compatibility information, or other content may occasionally contain an error.

We reserve the right to correct errors or omissions and to update information at any time.

If an order contains an obvious pricing or material product-information error, we may contact you with the corrected information and provide an opportunity to proceed with or cancel the affected item.

We are not obligated to fulfill an order at an obviously erroneous price to the extent permitted by applicable law.

13. FRAUD PREVENTION AND PAYMENT VERIFICATION

For the protection of our customers and Company, we may use fraud-prevention procedures and may request reasonable additional verification before processing or shipping an order.

An order may be delayed, restricted, or canceled if we reasonably suspect payment fraud, identity theft, unauthorized use of a payment method, export-control concerns, reshipping fraud, abusive purchasing activity, or other unlawful conduct.

14. CHARGEBACKS AND PAYMENT DISPUTES

If you believe a charge is incorrect or there is a problem with an order, we encourage you to contact us promptly so that we have an opportunity to investigate and resolve the issue.

Nothing in these Terms limits any lawful right you may have to dispute an unauthorized or improper transaction with your payment provider.

However, knowingly initiating a false, fraudulent, duplicative, or materially misleading payment dispute or chargeback may constitute a violation of these Terms and applicable law.

We reserve the right to provide payment processors, banks, card networks, or other relevant parties with order records, tracking information, communications, delivery documentation, applicable policies, and other information reasonably necessary to respond to a payment dispute.

15. SALES TAX AND OTHER TAXES

We collect sales or other transaction taxes where we determine collection is required by applicable law.

Customers are responsible for any taxes, duties, fees, or assessments that are legally their responsibility and that are not collected by us at checkout.

Tax-exempt customers must provide valid exemption documentation acceptable to us before an order is processed as tax-exempt.

16. SHIPPING AND DELIVERY

Orders are subject to our Shipping Policy.

Shipping and delivery dates are estimates unless we expressly agree in writing to a guaranteed delivery date.

Carrier delays, weather, customs processing, supply disruptions, address problems, force-majeure events, or other circumstances outside our reasonable control may affect delivery.

Customers are responsible for providing a complete and accurate shipping address.

Additional charges resulting from an incorrect or incomplete address, refused delivery, repeated delivery attempts, address correction, storage, return-to-sender charges, or redelivery may be charged to the Customer to the extent permitted by law.

Risk of loss and title to products will transfer in accordance with applicable law and the applicable shipping terms.

17. INTERNATIONAL ORDERS

International orders are subject to additional restrictions, customs requirements, import laws, duties, taxes, carrier requirements, and other requirements imposed by the destination country.

Unless an order expressly states that duties or taxes are prepaid by us, the recipient is responsible for applicable import duties, taxes, brokerage charges, clearance charges, and other governmental assessments.

Customers are responsible for determining whether products may lawfully be imported, possessed, installed, resold, or used in the destination country.

Except where prohibited by applicable law or expressly agreed otherwise by us, sales shipped to destinations outside the United States and Canada are final and are non-returnable and non-refundable.

Orders may be refused or canceled if fulfillment would violate applicable export-control, sanctions, customs, trade, or other laws.

18. RETURNS, REFUNDS, AND EXCHANGES

Returns, exchanges, refunds, and related procedures are governed by our Return & Refund Policy posted on the Site and incorporated into these Terms by reference.

Unless a different product-specific policy applies, eligible products may generally be submitted for return or exchange within the applicable return period stated in our Return & Refund Policy.

Products must satisfy the applicable return conditions before a refund or exchange will be issued.

Refunds or replacements are processed after the returned merchandise is received and evaluated by our warehouse.

Shipping charges, return shipping, restocking charges, damaged merchandise, altered merchandise, installed merchandise, used products, custom products, or other categories may be subject to additional conditions as stated in the applicable policy.

19. SPECIAL, CUSTOM, AND MADE-TO-ORDER PRODUCTS

Products manufactured, modified, configured, sourced, packaged, tested, labeled, ordered, or produced specifically for a Customer may be considered special or custom orders.

Special orders and custom orders are non-cancelable and non-refundable once production, procurement, customization, engineering, testing, or other material work has begun, except where otherwise expressly agreed in writing or required by law.

Deposits, engineering charges, development charges, testing charges, tooling expenses, prototype charges, special-production charges, and similar amounts may be non-refundable once incurred.

Lead times for special or custom orders are estimates unless otherwise expressly guaranteed in writing.

20. BUSINESS, WHOLESALE, DISTRIBUTOR, AND RESELLER ORDERS

We may establish separate pricing, credit terms, minimum quantities, shipping terms, warranties, return terms, or other conditions for business, wholesale, distributor, reseller, government, institutional, or high-volume Customers.

A Customer purchase order, procurement form, vendor portal, or other Customer document does not modify these Terms and any additional or conflicting terms contained in such document are rejected unless expressly accepted in a writing signed by an authorized representative of Light Spectrum Enterprises, Inc.

Our fulfillment of an order does not constitute acceptance of conflicting terms printed on or incorporated into a Customer purchase order.

21. INSTALLATION AND USE

Unless installation services are expressly included in an order, we sell products only and do not assume responsibility for the design, installation, repair, certification, inspection, or operation of the system in which a product is installed.

The Customer is responsible for:

  • correct installation;

  • electrical compatibility;

  • equipment compatibility;

  • following the applicable equipment manufacturer’s instructions;

  • complying with building and electrical codes;

  • engaging licensed or qualified professionals when appropriate;

  • obtaining required permits or approvals; and

  • ensuring safe operation after installation.

We are not responsible for damage arising from improper installation, incorrect wiring, an incompatible ballast or power supply, defective existing equipment, misuse, unauthorized modification, incorrect voltage, operation outside specified limits, or failure to follow applicable safety instructions, except to the extent liability cannot lawfully be excluded.

22. PRODUCT LIFE AND PERFORMANCE

Lamp life, rated life, useful ultraviolet life, expected service intervals, and other longevity statements are estimates based on normal or specified operating conditions.

Actual performance may vary based on operating cycles, ballast characteristics, environmental conditions, temperature, voltage, contamination, vibration, application, and other variables outside our control.

The fact that a lamp continues to emit visible light does not necessarily mean that its ultraviolet output remains at its original level.

Customers are responsible for following appropriate replacement schedules for their particular application and system.

23. WARRANTIES

Any express warranty applicable to a particular product will be stated on the relevant product page, invoice, packaging, written warranty, or other documentation supplied with the product.

Except for an express written warranty provided by us, and subject to applicable law, no employee, representative, reseller, distributor, customer-service agent, or other person is authorized to create or modify a warranty on our behalf unless the modification is in a written instrument signed by an authorized representative of Light Spectrum Enterprises, Inc.

Third-party equipment warranties are provided solely by the applicable third party and are not warranties of LSE Lighting.

24. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Site and its content are owned by or licensed to Light Spectrum Enterprises, Inc. and are protected by applicable intellectual-property laws.

Protected content may include, without limitation:

  • the LSE Lighting name and branding;

  • logos;

  • product photographs;

  • packaging designs;

  • text and product descriptions;

  • technical diagrams;

  • graphics;

  • videos;

  • website design;

  • databases;

  • software;

  • documentation;

  • product data created by us; and

  • other original content.

You are granted a limited, revocable, non-exclusive, non-transferable right to access and use the Site for legitimate personal or business purchasing purposes.

Except as expressly authorized by us in writing or permitted by law, you may not reproduce, republish, distribute, modify, create derivative works from, commercially exploit, sell, license, scrape, systematically download, or otherwise use our proprietary content.

Nothing in these Terms transfers ownership of our intellectual property to you.

25. AUTOMATED ACCESS, SCRAPING, AND DATA MINING

Except for ordinary indexing by legitimate public search engines in accordance with applicable technical instructions, you may not, without our prior written authorization:

  • scrape or systematically extract Site content;

  • use robots, crawlers, spiders, scripts, or automated retrieval tools;

  • collect product databases or pricing data in bulk;

  • copy product descriptions or photographs at scale;

  • use Site content to build a competing database or catalog;

  • use Site content to train, fine-tune, benchmark, or populate an artificial-intelligence or machine-learning model for commercial purposes;

  • circumvent access controls or rate limits; or

  • use automated systems in a manner that places an unreasonable burden on the Site.

We reserve all rights in our Site content, including rights relating to text and data mining, to the maximum extent permitted by applicable law.

26. PROHIBITED USES

You may not use the Site to:

  1. violate any applicable law or regulation;

  2. engage in fraud, deception, impersonation, or identity theft;

  3. obtain unauthorized access to accounts, systems, servers, or data;

  4. distribute malware, malicious code, viruses, or harmful technology;

  5. interfere with the security or operation of the Site;

  6. probe, scan, or test vulnerabilities without authorization;

  7. circumvent security or access-control measures;

  8. submit false account, payment, shipping, or identity information;

  9. infringe intellectual-property, privacy, publicity, or other rights;

  10. harass, threaten, defame, abuse, or unlawfully discriminate against another person;

  11. use our content to falsely suggest an affiliation, authorization, or endorsement;

  12. use the Site for an unlawful export, sanctions, or restricted-party transaction; or

  13. otherwise use the Site in a manner that could damage the Company, the Site, another user, or a third party.

27. REVIEWS, RATINGS, AND CUSTOMER CONTENT

We may permit Customers to submit reviews, ratings, photographs, comments, questions, feedback, or other content (“Customer Content”).

You remain responsible for Customer Content you submit.

You represent that you have the right to submit the Customer Content and that it does not knowingly contain unlawful, defamatory, fraudulent, infringing, malicious, threatening, or materially false content.

By submitting Customer Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, reproduce, display, distribute, format, and use that Customer Content in connection with our business, marketing, products, and Services, subject to applicable law.

We may moderate or remove Customer Content that violates these Terms, is unlawful, contains private information, includes spam, is unrelated to the product or transaction, infringes another party’s rights, or otherwise violates applicable law or reasonable Site policies.

We do not require a review to express a particular sentiment as a condition of receiving compensation or an incentive, and we do not remove or suppress legitimate reviews merely because they express a negative opinion.

Employees, owners, agents, or other persons with a material connection to LSE Lighting who submit endorsements or reviews must disclose that relationship where required by law.

28. FEEDBACK AND SUGGESTIONS

If you voluntarily submit product ideas, suggestions, recommendations, improvements, concepts, or other feedback regarding our products, Site, or Services, you agree that we may use that feedback without restriction or compensation, provided that this section does not transfer ownership of confidential information that is subject to a separate written confidentiality agreement.

Do not submit confidential, proprietary, or trade-secret information through general feedback channels unless an appropriate written confidentiality agreement is already in place.

29. THIRD-PARTY WEBSITES AND SERVICES

The Site may link to or integrate with third-party websites, payment providers, shipping providers, social-media services, analytics services, marketplaces, or other services.

A link or integration does not necessarily constitute our endorsement of the third party.

We do not control and are not responsible for the independent content, policies, security, availability, or practices of third-party services.

Your interactions with third-party services may be governed by separate terms and privacy policies.

30. PRIVACY

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy posted on the Site.

The Privacy Policy is incorporated into these Terms by reference.

You are responsible for reviewing the Privacy Policy before submitting personal information through the Site.

31. ELECTRONIC COMMUNICATIONS

When you visit the Site, submit an order, create an account, complete an online form, or communicate with us electronically, you consent to conducting the applicable transaction electronically to the extent permitted by law.

You agree that electronic order confirmations, invoices, disclosures, notices, records, and other communications may satisfy legal requirements that such communications be in writing, subject to any non-waivable requirements of applicable law.

Certain marketing communications may require separate consent and will be governed by applicable law and the preferences or opt-out methods provided with those communications.

32. SITE AVAILABILITY AND MODIFICATIONS

We may modify, suspend, discontinue, restrict, or change all or part of the Site or its functionality at any time.

We do not guarantee uninterrupted or error-free availability.

Maintenance, cyber incidents, communications failures, hosting problems, carrier problems, internet outages, software defects, force-majeure events, or other circumstances may temporarily affect the Site.

We are not responsible for losses caused solely by temporary Site unavailability except to the extent required by applicable law.

33. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT FOR EXPRESS WRITTEN WARRANTIES SPECIFICALLY PROVIDED BY US, WE DISCLAIM WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT:

  • THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE;

  • ALL INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT;

  • A PARTICULAR PRODUCT WILL BE SUITABLE FOR EVERY POSSIBLE APPLICATION;

  • A REPLACEMENT PRODUCT WILL CORRECT A DEFECT CAUSED BY ANOTHER COMPONENT OF THE CUSTOMER’S SYSTEM; OR

  • A CUSTOMER’S EQUIPMENT OR SYSTEM WILL ACHIEVE A PARTICULAR PERFORMANCE RESULT MERELY BY INSTALLING A PRODUCT PURCHASED FROM US.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

34. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIGHT SPECTRUM ENTERPRISES, INC., LSE LIGHTING, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST PRODUCTION, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, OR SIMILAR DAMAGES ARISING OUT OF OR RELATING TO THE SITE, SERVICES, PRODUCTS, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF A PARTICULAR PRODUCT, ORDER, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO US FOR THE PRODUCT, ORDER, OR SERVICE GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.

Nothing in these Terms is intended to exclude or limit any consumer right that cannot lawfully be waived.

35. INDEMNIFICATION

To the extent permitted by law, if you use the Site or products in connection with a business or commercial activity, you agree to defend, indemnify, and hold harmless Light Spectrum Enterprises, Inc., LSE Lighting, and their officers, directors, employees, affiliates, and agents from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

  • your material breach of these Terms;

  • your unlawful use of the Site;

  • your infringement of another party’s rights;

  • your unauthorized modification, resale, relabeling, or misuse of a product;

  • your unlawful marketing claims concerning a product;

  • your installation or incorporation of a product into a system contrary to applicable instructions or law; or

  • your violation of applicable law.

This section does not require a consumer to indemnify us for our own unlawful conduct and applies only to the extent enforceable under applicable law.

36. SUSPENSION AND TERMINATION

We may suspend, restrict, or terminate access to the Site or a customer account if we reasonably determine that the user:

  • materially violated these Terms;

  • engaged in fraudulent or unlawful conduct;

  • created a security risk;

  • abused our employees, systems, policies, or Services;

  • repeatedly initiated fraudulent payment disputes; or

  • used the Site in a manner that threatens the rights or safety of another party.

Termination does not affect rights or obligations that arose before termination.

Provisions that by their nature should survive termination will continue to apply.

37. FORCE MAJEURE

We will not be responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, strikes, labor shortages, epidemics, pandemics, government action, embargoes, sanctions, import or export restrictions, power failures, internet failures, cyber incidents, carrier disruptions, port congestion, customs delays, material shortages, factory interruptions, supply-chain disruptions, or transportation failures.

Where an event materially affects an unfulfilled order, we may cancel the affected portion and refund amounts paid for the canceled portion.

38. EXPORT CONTROLS AND SANCTIONS

You may not purchase, export, re-export, transfer, or use products purchased from us in violation of United States export-control laws, sanctions laws, trade restrictions, or other applicable laws.

You represent that you are not purchasing on behalf of a prohibited or sanctioned person, entity, destination, or end use.

We may refuse, suspend, or cancel a transaction if we reasonably believe additional compliance review is required.

39. GOVERNING LAW

These Terms and transactions with Light Spectrum Enterprises, Inc. will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except to the extent that applicable federal law or a non-waivable law of another jurisdiction applies.

Nothing in this provision deprives a consumer of mandatory protections afforded by the law of the consumer’s state or country where those protections cannot lawfully be waived by contract.

40. INFORMAL DISPUTE RESOLUTION

Before filing a lawsuit concerning a dispute arising from these Terms or a transaction with us, the parties agree, where reasonably practicable, to make a good-faith attempt to resolve the dispute informally.

A written dispute notice should identify:

  • the Customer;

  • the applicable order number, if any;

  • the nature of the dispute;

  • relevant facts; and

  • the requested resolution.

The parties should allow at least 30 days after receipt of a sufficiently detailed written notice to attempt an informal resolution before initiating litigation, unless immediate legal relief is reasonably necessary or applicable law provides otherwise.

41. JURISDICTION AND VENUE

Subject to applicable law and any non-waivable consumer rights, disputes arising from these Terms or transactions with us that cannot be resolved informally will be brought in a court of competent jurisdiction located in the Commonwealth of Pennsylvania.

Where enforceable, the parties consent to personal jurisdiction and venue in the state courts located in or serving Bucks County, Pennsylvania, or the applicable federal court having jurisdiction over that area.

Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief to protect intellectual-property rights, confidential information, systems, or property.

42. CALIFORNIA CONSUMERS

California consumers may contact the California Department of Consumer Affairs regarding consumer-assistance matters.

Nothing in these Terms limits rights available to California consumers under applicable California law.

43. STATE-SPECIFIC AND INTERNATIONAL CONSUMER RIGHTS

Certain jurisdictions do not allow contractual exclusions or limitations of particular warranties, remedies, damages, venue rights, or consumer protections.

Where a provision of these Terms conflicts with a non-waivable right under applicable law, the mandatory legal protection will control to the extent of the conflict, and the remaining provisions of these Terms will remain in effect.

44. NO AGENCY OR PARTNERSHIP

Nothing in these Terms creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship, agency relationship, or other similar relationship between you and Light Spectrum Enterprises, Inc.

45. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent where consent is permitted to be required by law.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, financing transaction, or transfer of the business or relevant portion of the business.

46. WAIVER

Our failure to enforce a provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

A waiver is effective only if made in writing by an authorized representative and applies only to the specific circumstance for which it is given.

47. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, if necessary, severed from these Terms.

The remaining provisions will remain in full force and effect.

48. ENTIRE AGREEMENT

These Terms, together with the policies and terms incorporated by reference and any applicable written order, invoice, quotation, product warranty, custom-order agreement, engineering agreement, or other written agreement expressly accepted by us, constitute the agreement between you and us concerning the applicable subject matter.

If a separately signed written agreement between you and Light Spectrum Enterprises, Inc. expressly conflicts with these Terms, the signed written agreement controls with respect to that conflict.

49. HEADINGS

Section headings are included for convenience only and do not affect interpretation of these Terms.

50. LANGUAGE

These Terms are written in English.

Any translation provided for convenience is subordinate to the English-language version to the extent permitted by applicable law.
